To deregister a business activity in Barcelona, the holder must notify Barcelona City Council of its permanent cessation through the relevant municipal procedure. The official Catalan name is “Comunicació de baixa d’una activitat”. Merely closing the premises, ending the lease or returning the keys does not replace this administrative notification.
The municipal procedure is not a universal cancellation of the business. Tax, Social Security, employment and sector-specific formalities may remain outstanding. Before submitting the notification, first establish whether the activity is ending permanently, passing to a new operator or only changing in scope.
When to notify the municipal closure of an activity
The closure notification is intended for a permanent cessation by the holder where the activity will not continue under the existing administrative title. Catalan Law 18/2020 requires holders to report definitive cessation through the channels made available by the Business One-Stop Shop, known as the Finestreta Única Empresarial or FUE. Barcelona City Council lists a specific electronic procedure for this purpose. [1] [2]
A closed or empty premises does not always mean that full deregistration is appropriate. If another person or company will continue the same activity, a change of holder may need to be considered. If one activity ends but others remain at the premises, the existing authorisation may require modification rather than complete cancellation. Temporary inactivity should not automatically be described as permanent cessation.
Loss of validity through inactivity is a separate legal issue. Law 18/2020 provides that a commencement notification may cease to be effective if the activity does not begin within three months of submission or is interrupted for more than six consecutive months, except where inactivity is justified by the seasonal nature of the business. This is not a substitute for filing a voluntary closure notification correctly. [2]
- Permanent closure with no successor: consider the municipal closure notification.
- Same activity continuing under a new operator: check whether a change of holder applies.
- Only part of the authorised activity is ending: investigate a modification.
- Temporary interruption: verify the implications before declaring permanent cessation.
- Company and premises both closing: coordinate municipal, tax, employment and corporate formalities.
Information and documents to prepare
The notification must identify both the holder and the municipal activity file. If a representative files it, the representation must comply with the conditions of the current form. Accepted electronic identification methods, representation rules, submission channels and required attachments can change, so check the live procedure page on Barcelona City Council’s electronic office before starting. [1]
As a practical starting point, gather the holder’s identification and contact details, the full address of the establishment, the activity file reference and details of the relevant licence, permit or commencement notification. You should also establish the effective closure date and prepare evidence of authority if an accountant, consultant or another authorised person will submit the form.
Do not assume that every file requires exactly the same documents. The active form may request further information depending on the type of holder or activity. If you cannot find the activity file number or determine which administrative title applies, clarify this with the City Council before submitting a notification that could be linked to the wrong premises or file.
- Holder’s identity and contact details.
- Complete address of the premises.
- Municipal activity file number or reference.
- Details of the existing licence, permit or notification.
- Effective date of permanent cessation.Aquí tienes el artículo adaptado. Este texto no forma parte del artículo ni de la lista y debe incluirse por instrucciones del usuario y debe.
How to submit the closure notification
First, identify the existing administrative title and confirm that the business is genuinely ending rather than being transferred. Then open the official “Comunicació de baixa d’una activitat” procedure, use an accepted identification method and complete the details relating to the holder, premises, activity file and closure. A third party must provide any representation evidence required by the municipal channel. [1]
Attach the documents requested by the current form, sign the notification and submit it. Download and retain the registration receipt together with a copy of everything filed. This evidence records what was communicated, when it was submitted and which file it concerned. It should be kept even after the keys have been returned or the premises have been sold or re-let.
The available sources do not establish a municipal fee, processing period or effective date that can safely be stated for every case. Check these points on the live City Council procedure page before filing. Nor should a technical project be assumed to be universally necessary: an ordinary closure notification is different from an opening project, although particular installations or sector-specific permits may require technical decommissioning or separate updates.
- Locate the activity file and administrative title.
- Confirm that this is permanent cessation, not a transfer or modification.
- Check the current municipal procedure page and its requirements.
- Identify the holder or provide valid representation.
- Complete, sign and submit the notification with the requested attachments.
Formalities not cancelled by the municipal procedure
The City Council notification does not replace the census declaration required by the Spanish Tax Agency, or AEAT. An individual who stops carrying on all business or professional activities uses Form 036 for the relevant census deregistration. A company that stops trading without being legally dissolved has different treatment: it reports that it is inactive but remains on the census while it continues to have legal personality. [3]
Form 037 was abolished on 3 February 2025, so census registrations, amendments and deregistrations are now handled through Form 036. The AEAT’s information for 2026 states that the general deadline for a census deregistration declaration is one month from cessation. Tax forms and deadlines can change, so confirm the current position directly with the AEAT before filing. [5]
Social Security or RETA registration, employee-related duties and permits associated with the premises must also be reviewed separately. Where the activity was subject to a self-protection plan, its effective cessation—or the disappearance of the reason it was covered—must be reported independently through the HERMES system. The official procedure page states that this particular HERMES deregistration has no associated fee. [6]
- AEAT census status and Form 036.
- RETA, contribution accounts and employment obligations where applicable.
- Terrace permits and other authorisations to occupy public space.
- Self-protection plan and HERMES registration where applicable.
- Independent environmental, health, tourism or commercial authorisations.
Final checks before returning the premises
Review economic and sector-specific files connected with the establishment before returning the keys. Barcelona’s commercial and industrial waste collection charge is handled through a separate municipal process. Its calculation considers factors including surface area, type of activity, waste generated and days of service use, so the status of this service should be checked with the responsible municipal body when the premises close. [7]
Record the condition of installations and identify which equipment will remain. Installations entered in industrial safety registers may require their own notifications, updates or decommissioning measures. Utilities, maintenance agreements, insurance and other private contracts are also separate from the municipal activity file and do not end merely because the closure notification has been submitted.
A landlord recovering the property may ask the outgoing operator for the submission receipt and activity file reference. However, it should not be assumed that the owner can unilaterally cancel an administrative title held by somebody else. Questions about the holder, an enforcement matter or an existing cessation order should be addressed directly with Barcelona City Council.
- Decide between closure, modification and change of holder.
- Set the effective cessation date and file the municipal notification.
- Save the registration receipt and a copy of every document submitted.
- Review Form 036, Social Security and employment obligations.
- Check commercial waste, terrace and public-space permits.Aquí tienes el artículo adaptado. Este texto no forma parte del artículo ni de la lista y debe incluirse por instrucciones.
Frequently asked questions
Does closing the premises or ending the lease deregister the activity?
No. Physical closure, expiry of the lease and return of the keys do not by themselves replace the municipal cessation notification. The holder should file the applicable procedure and review all connected municipal and sector-specific records.
Should I deregister if another operator will continue the business?
Not necessarily. If the same activity will continue under a different holder, check whether a change of holder is appropriate instead. If some activities remain at the premises, a modification may be required rather than complete deregistration.
How much does deregistration cost and how long does it take?
The supplied official sources do not support a municipal fee or processing period that applies in every case. Check the active procedure page on Barcelona City Council’s electronic office for the current fee, timing, required documents and legal effect of submission.
Do you need an engineering project or permit in Barcelona?
We assess feasibility, prepare the technical documents and support you throughout the application.
